Privacy Statement

This Confidentiality Agreement ("Agreement") Line A-L is made and effective the Invoice Date by and between [Supplier] ("HamRecycling") and [Buyer] ("Buyer"). The Supplier has requested that the Buyer will protect the confidential material and information which may be disclosed between the Supplier and the Buyer. Therefore, the parties agree as follows. 1. Confidential Information. The term "Confidential Information" means any information or material which is proprietary to the Supplier, whether or not owned or developed by the Supplier, which is not generally known other than by the Supplier, and which the Buyer may obtain through any direct or indirect contact with the Supplier. Supplier proposes to disclose certain of its confidential and proprietary information (the "Confidential Information") to Buyer. Confidential Information disclosed orally shall be identified as such within five (5) days of disclosure. Nothing herein shall require Supplier to disclose any of its information. a) "Confidential Information" includes without limitation: - business records and plans - financial Information or statements - Buyer lists and records - products - discounts - costs and tax information - terms and condition information - copyrights and other intellectual property and other proprietary information. b. "Confidential Information" does not include: - matters of public knowledge that result from disclosure by the Supplier; - information rightfully received by the Buyer from a third party without a duty of confidentiality; - information independently developed by the Buyer; - information disclosed by operation of law; - information disclosed by the Buyer with the prior written consent of the Supplier; and any other information that both parties agree in writing is not confidential. 2. Protection of Confidential Information. The Buyer understands and acknowledges that the Confidential Information has been developed or obtained by the Supplier by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of the Supplier which provides the Supplier with a significant competitive advantage, and needs to be protected from improper disclosure. In consideration for the receipt by the Buyer of the Confidential Information, the Buyer agrees as follows: a) No Disclosure. The Buyer will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of the Supplier. b) No Copying/Modifying. The Buyer will not copy or modify any Confidential Information without the prior written consent of the Supplier. c) Unauthorized Use. The Buyer shall promptly advise the Supplier if the Supplier becomes of aware of any possible unauthorized disclosure or use of the Confidential Information. d) Term. The obligations of Buyer herein shall be effective [Above Date Period] from the date Supplier last discloses any Confidential Information to Buyer pursuant to this Agreement. Further, the obligation not to disclose shall not be affected by bankruptcy, receivership, assignment, attachment or seizure procedures, whether initiated by or against Buyer, nor by the rejection of any agreement between Supplier and Buyer, by a trustee of Buyer in bankruptcy, or by the Buyer as a debtor-in-possession or the equivalent of any of the foregoing under local law. e) Other Information. Buyer shall have no obligation under this Agreement with respect to Confidential Information which is or becomes publicly available without breach of this Agreement by Buyer; is rightfully received by Buyer without obligations of confidentiality; or is developed by Buyer without breach of this Agreement; provided, however, such Confidential Information shall not be disclosed until thirty (30) days after written notice of intent to disclose is given to Supplier along with the asserted grounds for disclosure. f) Final Agreement. This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. g) No Assignment. Buyer may not assign this Agreement or any interest herein without Supplier's express prior written consent. h) Sever ability. If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included. i) Notices. Any notice required by this Agreement or given in connection with it, shall be in writing and shall be given to the appropriate party by personal delivery or by certified mail, postage prepaid, or recognized overnight delivery services. Unpaid issued purchasing invoice will result in buyer being blocked from future purchases from Ham Management & Recycling. j) Headings. Headings used in this Agreement are provided for convenience only and shall not be used to construe meaning or intent. k) Governing Law and Equitable Relief. This Agreement shall be governed and construed in accordance with the laws of the United States and the State of [State of Governing Law] and Buyer consents to the exclusive jurisdiction of the state courts and U.S. federal courts located there for any dispute arising out of this Agreement. Buyer agrees that in the event of any breach or threatened breach by Buyer, Supplier may obtain, in addition to any other legal remedies which may be available, such equitable relief as may be necessary to protect Supplier against any such breach or threatened breach. l) Replication. Line A-L (Confidentiality Agreement)Unauthorized distribution, replication of financial Information, Personal Information, Purchasing Information, company Information, above may result in breech of contract resulting in legal actions. 3. Unauthorized Disclosure of Information - Injunction. If it appears that the Buyer has disclosed (or has threatened to disclose) Confidential Information in violation of this Agreement, the Supplier shall be entitled to an injunction to restrain the Buyer from disclosing the Confidential Information in whole or in part. The Supplier shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages. 4. Return Of Confidential Information. Upon the written request of the Supplier, the Buyer shall return to the Supplier all written materials containing the Confidential Information. The Buyer shall also deliver to the Supplier written statements signed by the Buyer certifying that all materials have been returned within five (5) days of receipt of the request. 5. Relationship Of Parties. Neither party has an obligation under this Agreement to purchase any service or item from the other party, or commercially offer any products using or incorporating the Confidential Information. This Agreement does not create any agency, partnership, or joint venture. 6. No Warranty. The Buyer acknowledges and agrees that the Confidential Information is provided on an "AS IS" basis. THE Supplier MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CONFIDENTIAL INFORMATION AND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL THE Supplier BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OR USE OF ANY PORTION OF THE CONFIDENTIAL INFORMATION. The Supplier does not represent or warrant that any product or business plans disclosed to the Buyer will be marketed or carried out as disclosed, or at all. Any actions taken by the Buyer in response to the disclosure of the Confidential Information shall be solely at the risk of the Buyer. 7. Limited License to Use. The Buyer shall not acquire any intellectual property rights under this Agreement except the limited right to use as set forth above. The Buyer acknowledges that, as between the Supplier and the Buyer, the Confidential Information and all related copyrights and other intellectual property rights, are (and at all times will be) the property of the Supplier, even if suggestions, comments, and/or ideas made by the Buyer are incorporated into the Confidential Information or related materials during the period of this Agreement. a. Indemnity. Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third party claims, demands, liabilities, costs and expenses, including reasonable attorneys fees, costs and expenses resulting from the indemnifying party's material breach of any duty, representation, or warranty under this Agreement. b. Attorneys Fees. In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorneys fees and costs. c. General Provisions. This Agreement sets forth the entire understanding of the parties regarding confidentiality. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Florida. This Agreement shall not be assignable by either party. Neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect at all times after the effective date of this Agreement. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Agreement. 8. Buyer's Obligations. a. Buyer agrees that the Confidential Information is to be considered confidential and proprietary to Supplier and Buyer shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its business with Supplier, and shall disclose it only to its officers, directors, or employees with a specific need to know. Buyer will not disclose, publish or otherwise reveal any of the Confidential Information received from Supplier to any other party whatsoever except with the specific prior written authorization of Supplier. b. Confidential Information furnished in tangible form shall not be duplicated by Buyer except for purposes of this Agreement. Upon the request of Supplier, Buyer shall return all Confidential Information received in written or tangible form, including copies, or reproductions or other media containing such Confidential Information, within ten (10) days of such request. At Buyer's option, any documents or other media developed by the Buyer containing Confidential Information may be destroyed by Buyer. Buyer shall provide a written certificate to Supplier regarding destruction within ten (10) days thereafter.
